Terms of Service
These terms govern your access to and use of Zeroed. By creating an account or using the service, you agree to them.

1. Agreement
These Terms of Service ("Terms") are between you (the business signing up) and Zeroed. They apply to your use of our website, app, and related services (collectively, the "Service").
If you use Zeroed on behalf of a practice, company, or organisation, you confirm you have authority to bind that entity.
2. What Zeroed is
Zeroed is software that helps South African businesses recover overdue accounts through automated, configurable reminders on WhatsApp, SMS, and email, plus payment links, payment plans, and promise-to-pay tracking.
Zeroed is a first-party tool. It helps you collect your own accounts in your own name. It is not a registered debt collection agency and does not collect money on your behalf. Payments from your customers go directly to your own PayFast account.
3. Eligibility
The Service is offered to businesses operating in South Africa. You must be at least 18 years old and able to form a binding contract. You must provide accurate registration information and keep it up to date.
4. Your account
You are responsible for all activity under your account, for maintaining the confidentiality of login credentials, and for inviting only users who are authorised to access your organisation's data. Notify us immediately at hello@zeroed.co.za if you suspect unauthorised access.
5. Your responsibilities
When using Zeroed, you agree to:
- Import or enter only data you are lawfully permitted to process, with a valid consent or other lawful basis under POPIA and applicable law.
- Ensure messages sent through Zeroed identify your business clearly and offer a working opt-out or contact-preference mechanism.
- Honour opt-outs, contact-hour limits, fatigue caps, and other compliance settings configured in the product.
- Connect and maintain your own PayFast account for payment links. You are responsible for PayFast terms, fees, and settlement.
- Use the Service in a dignified, lawful manner. Do not send threatening, deceptive, harassing, or discriminatory messages.
- Comply with the National Credit Act where accounts are flagged as credit agreements, including section 129 requirements where applicable.
- Respect prescription rules, school exemption processes, and other sector-specific obligations that apply to your book.
- Not attempt to route debtor funds through Zeroed or use Zeroed in any way that would make us act as a third-party collector.
6. The Service and changes
We may improve, change, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted availability. Planned maintenance, load-shedding, third-party outages (including WhatsApp or PayFast), and events outside our control may affect the Service.
Message delivery depends on third-party channels. Template approval for WhatsApp is subject to Meta's policies and timelines.
7. Fees and billing
Paid plans, usage-based charges for messages, and any add-ons are described on our pricing page and in your order or invoice. Prices are in South African Rand unless stated otherwise.
- Subscriptions are typically month to month unless agreed otherwise.
- Usage for WhatsApp, SMS, and voice (where offered) is metered. We do not offer unlimited messaging.
- You authorise us to charge your chosen payment method for fees due. Failure to pay may result in suspension.
- Refund and cancellation terms are set out in our Refund and Cancellation Policy. Unless expressly agreed, fees are non-refundable once a billing period has started.
8. Acceptable use
You may not:
- Use the Service for unlawful purposes or to process unlawful debt.
- Upload malware, probe systems, or interfere with security or isolation.
- Access another tenant's data or attempt to bypass access controls.
- Resell or sublicense the Service without our written consent.
- Use the Service to send spam or messages without a lawful basis or required consent.
- Reverse engineer the Service except where law permits.
We may suspend or terminate access for material breach, risk to other customers, or legal requirement.
9. Intellectual property
Zeroed and its logos, software, documentation, and collections strategy defaults remain our intellectual property or that of our licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.
You retain ownership of your data. You grant us a licence to host, process, and transmit your data as needed to provide the Service and support compliance features.
10. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for purposes of the relationship. This does not apply to information that is public, independently developed, or lawfully received from a third party.
11. Data protection
Our handling of personal information is described in our Privacy Policy and POPIA notice. Where you process debtor data through Zeroed, you are responsible for your POPIA obligations as responsible party, and we act as operator on your instructions.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis to the extent permitted by law. We do not guarantee that any overdue amount will be recovered, that a debtor will pay, or that a particular recovery rate will be achieved.
Zeroed provides automation and defaults based on research and operational best practice. You remain responsible for decisions about escalation, hand-over to attorneys or agencies, and customer relationships.
13. Limitation of liability
To the maximum extent permitted by South African law, Zeroed is not liable for indirect, incidental, special, or consequential loss, including lost profits, lost goodwill, or loss of data, except where liability cannot be excluded by law.
Our total liability for any claim arising from the Service in any twelve-month period is limited to the fees you paid to Zeroed in that period, except for liability arising from gross negligence, wilful misconduct, or death or personal injury caused by negligence.
14. Indemnity
You will indemnify and hold Zeroed harmless against claims, losses, and costs arising from your breach of these Terms, your unlawful processing of personal information, your messages or collection conduct, or your misuse of PayFast or channel providers, except to the extent caused by our breach or negligence.
15. Term and termination
You may cancel in accordance with your plan. We may suspend or terminate for non-payment, breach, or risk to the platform. On termination, your right to use the Service ends. Export provisions apply as described in our Privacy Policy and product settings.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. The parties submit to the jurisdiction of the South African courts, without prejudice to either party's right to seek urgent interim relief.
We prefer to resolve disputes informally first. Contact hello@zeroed.co.za before formal proceedings where possible.
17. General
- If any provision is invalid, the remainder stays in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
- These Terms, together with the Privacy Policy, POPIA notice, and Refund and Cancellation Policy, constitute the agreement between you and Zeroed regarding the Service.
